These Terms of Use ("Terms") govern your access to and use of the ULTD Pay platform, including the administration dashboard, APIs, and related services (collectively, the "Service") provided by Unlimited AI ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Account Registration

To use the Service, you must register for an account and provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

2. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:

• Use the Service for any fraudulent, illegal, or unauthorized activity
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any malicious code, viruses, or other harmful material
• Resell, sublicense, or redistribute the Service without prior written consent

3. Payment Processing

The Service facilitates payment processing through third-party payment providers (e.g., Stripe). We do not directly process, store, or handle credit card numbers or sensitive payment credentials. All payment transactions are subject to the terms and policies of the respective payment provider.

You are responsible for ensuring that your use of payment processing complies with all applicable laws, including PCI DSS requirements where applicable.

4. API Usage

Access to our API is provided under the following conditions:

• API keys are confidential and must not be shared or exposed publicly
• You must implement reasonable rate limiting in your applications
• We reserve the right to throttle or suspend API access that negatively impacts service availability
• Webhook endpoints you configure must use HTTPS in production environments

5. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to our data practices as described therein.

6. Intellectual Property

The Service, including its software, design, logos, and documentation, is the property of Unlimited AI and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during the term of your account.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by law, Unlimited AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, though provisions that by their nature should survive will remain in effect.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Unlimited AI operates, without regard to conflict of law principles.
